By accessing and using InvoiceSOS ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Service.

2. Description of Service

InvoiceSOS is an AI-powered platform that helps restaurants analyze invoices, benchmark food costs against market prices, and identify savings opportunities. The Service includes:

• Invoice upload and analysis
• Price benchmarking against market data
• Savings reports and analytics
• Supplier negotiation tools
• Group buying coordination

3. User Accounts and Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

4. Payment Terms

The Service is offered under the following payment terms:

• Free Tier: Up to 5 invoice uploads per month
• Performance Plan: $199/month base fee + 20% of verified savings captured

Payments are processed via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time.

5. Money-Back Guarantee

We offer a 30-day money-back guarantee for the Performance Plan. If you don't find at least $500 in annual savings within your first 30 days, we'll refund your entire subscription. To request a refund, contact support@invoicesos.com.

6. Data Privacy and Security

We take data privacy seriously. When you upload invoices:

• Your data is anonymized before benchmarking
• Supplier-specific information is stripped before comparison
• We use bank-grade encryption for data storage
• Your data is never shared with other users without consent

7. User Content and Data

You retain ownership of all data you upload to the Service. By uploading content, you grant us a limited license to use that data solely for providing the Service to you.

8. Prohibited Uses

You may not use the Service to:

• Upload false or fraudulent invoices
• Attempt to reverse-engineer or copy our proprietary algorithms
• Use the Service for any illegal purpose
• Harass, abuse, or harm other users
• Upload content containing viruses or malicious code

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT GUARANTEE SPECIFIC SAVINGS RESULTS. WHILE WE STRIVE FOR 98% ACCURACY IN OUR PRICING ANALYSIS, ACTUAL RESULTS MAY VARY BASED ON MARKET CONDITIONS AND SUPPLIER RELATIONSHIPS.

10. Limitation of Liability

IN NO EVENT SHALL INVOICESOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold InvoiceSOS harmless from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
